Legal terms and conditions for using Maicoro

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legal agreement between you and Hardie Digital Pty Ltd ("we," "our," or "us") regarding your use of Maicoro, our cart recovery service for Webflow stores. By accessing or using Maicoro, you agree to be bound by these Terms and our Privacy Policy.
2. Description of Service
Maicoro is a Software-as-a-Service (SaaS) platform that provides automated cart recovery solutions for Webflow e-commerce stores. Our service includes:
- Integration with Webflow stores via OAuth authentication
- Automated tracking of abandoned shopping carts
- Customizable email recovery sequences
- Analytics and reporting on recovery performance
- Revenue tracking and billing based on recovered sales
3. Account Registration and Eligibility
3.1 Account Requirements
To use Maicoro, you must:
- Be at least 18 years old or have reached the age of majority in your jurisdiction
- Provide accurate and complete information during registration
- Maintain the security of your account credentials
- Have a valid Webflow account with e-commerce functionality
3.2 Account Responsibility
You are responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized use of your account.
4. Pricing and Billing
4.1 Revenue-Based Pricing Model
Maicoro operates on a revenue-sharing model with the following structure:
- FREE Plan: $0/month - Up to $200 recovered revenue per month
- STARTER Plan: $19/month - Up to $750 recovered revenue per month
- GROWTH Plan: $37/month - Up to $2,000 recovered revenue per month
- PRO Plan: $87/month - Up to $5,000 recovered revenue per month
- ENTERPRISE Plans: Custom pricing for higher revenue volumes
4.2 Billing Terms
- All fees are charged in advance on a monthly or annual basis
- Annual plans receive a 33% discount compared to monthly billing
- Automatic upgrades occur when revenue limits are exceeded (with payment method on file)
- Without a payment method, service pauses at 100% of revenue limit until next billing cycle
4.3 Payment Processing
Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your account for applicable fees. You are responsible for keeping your payment information current.
4.4 Refunds
Refunds are generally not provided for partial months of service. However, we may provide refunds at our discretion for technical issues or service interruptions that significantly impact your ability to use Maicoro.
5. Webflow Integration and Data
5.1 Authorization Requirements
To use Maicoro, you must authorize our application to access your Webflow account. This grants us permission to:
- Read your site information and product catalog
- Set up webhooks for order and cart tracking
- Access customer data related to cart abandonment
- Monitor site activity for recovery purposes
5.2 Your Responsibilities
You are responsible for:
- Ensuring you have proper authorization to connect your Webflow site
- Maintaining valid Webflow account credentials and permissions
- Complying with Webflow's Terms of Service
- Informing customers about cart recovery emails in your privacy policy
- Handling customer unsubscribe requests appropriately
5.3 Data Accuracy
While we strive for accuracy, you acknowledge that cart recovery data may have slight variations due to technical limitations, timing differences, or integration complexities. Revenue calculations are based on available data at the time of processing.
6. Acceptable Use
6.1 Permitted Use
You may use Maicoro only for legitimate cart recovery purposes on sites you own or manage.
6.2 Prohibited Activities
You may not:
- Use Maicoro for spam or unsolicited email campaigns
- Attempt to reverse engineer or replicate our technology
- Violate any applicable laws or regulations
- Interfere with the security or operation of our service
- Use our service to collect data for purposes other than cart recovery
- Share your account credentials with unauthorized parties
7. Intellectual Property
7.1 Our Rights
Maicoro, including all software, designs, text, graphics, and other materials, is owned by Hardie Digital Pty Ltd and protected by intellectual property laws. We grant you a limited, non-exclusive license to use our service.
7.2 Your Content
You retain ownership of your store data, customer information, and email content. By using Maicoro, you grant us permission to process this data to provide our services.
8. Service Availability
8.1 Uptime Commitment
We strive to maintain 99.5% uptime but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible.
8.2 Force Majeure
We are not liable for service interruptions caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or third-party service failures.
9. Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Limitation of Liability
To the maximum extent permitted by law, Hardie Digital Pty Ltd's total liability for any claims arising from your use of Maicoro shall not exceed the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
11. Indemnification
You agree to indemnify and hold harmless Hardie Digital Pty Ltd from any claims, damages, or expenses arising from your use of Maicoro, violation of these Terms, or infringement of any third-party rights.
12. Termination
12.1 Termination by You
You may terminate your account at any time through your dashboard settings. Termination takes effect at the end of your current billing period.
12.2 Termination by Us
We may suspend or terminate your account for violation of these Terms, non-payment, or other legitimate business reasons. We will provide reasonable notice when possible.
12.3 Effect of Termination
Upon termination, your access to Maicoro will cease, and we may delete your account data according to our data retention policies. You remain responsible for any outstanding charges.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of Australia, without regard to conflict of law principles.
13.2 Dispute Resolution Process
Any disputes arising from these Terms or your use of Maicoro should first be addressed through direct communication with our support team. If unresolved, disputes may be subject to mediation or arbitration as required by Australian law.
14. Changes to Terms
We may update these Terms periodically to reflect changes in our service or legal requirements. We will notify you of significant changes via email or through our service. Continued use after changes constitutes acceptance of the updated Terms.

16. Severability
